Governed Access to Prompt-Driven Innovation Infrastructure

 

 

Purpose of This Page

 

This page defines the commercial framework governing access to the Company’s prompt-driven innovation systems. It is intended to provide pricing clarity, procurement certainty, and enforceable commercial boundaries without characterizing the Product as software, services, consulting, or advice.

 

Pricing reflects access to governed intellectual infrastructure, not outcomes, implementations, or results.

 

 

Nature of the Commercial Offering

 

The Product is licensed as structured prompt architecture delivered as innovation-grade governance drafts.

 

The Company does not sell:

• execution,

• implementation,

• advisory services,

• or performance commitments.

 

Pricing applies solely to:

• access to the licensed prompt frameworks,

• the right to use those frameworks internally within defined scope,

• and the delivery of governance-grade innovation artifacts.

 

 

Tiered Access Structure

 

Access to the Product is offered in tiered configurations based on scope, complexity, and organizational capacity, not company size, revenue, or headcount alone.

 

Each tier reflects:

• the depth of architectural coverage,

• the number and sophistication of prompt frameworks included,

• the degree of lifecycle, dependency, and governance complexity addressed,

• and the internal execution capacity presumed of the Licensee.

 

Selecting a tier is the Licensee’s responsibility.

 

 

Intended Buyer Readiness

 

Each pricing tier presumes that the Licensee possesses the internal capability to:

• interpret governance drafts,

• validate assumptions,

• execute builds,

• and assume responsibility for outcomes.

 

The Product does not substitute for staffing, expertise, or execution resources.

Mismatch between tier selection and internal capability does not constitute product failure.

 

 

Pricing Determination Factors

 

Pricing is determined by one or more of the following factors, as applicable:

• innovation scope and domain breadth,

• architectural complexity,

• dependency-elimination requirements,

• lifecycle coverage,

• governance rigor,

• and intended internal use profile.

 

Pricing is not tied to:

• output quantity,

• financial performance,

• adoption success,

• or realized business value.

 

 

Pricing Schedules and Exhibits

 

Specific prices, tier definitions, and included materials are set forth in one or more Pricing Schedules or Exhibits incorporated by reference into the governing agreement.

 

Prices are not required to be displayed publicly and may vary by configuration.

 

 

Confidentiality of Pricing

 

All pricing, tier structures, and commercial terms are confidential and may not be disclosed to third parties except as required for internal procurement, audit, or legal review, subject to confidentiality obligations.

 

 

Payment Terms

 

Unless otherwise stated in a written agreement:

• all fees are due in accordance with the applicable invoice,

• payment obligations are binding once incurred,

• and failure to pay may result in suspension of access.

 

Late payments may be subject to interest and collection remedies as permitted by law.

 

 

All Sales Final

 

All fees are non-refundable once access to the licensed materials has been provided.

 

Fees are payable regardless of:

• execution outcomes,

• internal adoption,

• changes in strategy,

• or realized value.

 

The Product is licensed intellectual infrastructure, not a contingent-outcome purchase.

 

 

No Refunds; No Chargebacks

 

Refunds, credits, and chargebacks are not permitted except as expressly required by applicable law or set forth in a written agreement executed by the Company.

 

 

Scope Changes and Reclassification

 

If actual use exceeds the licensed scope or tier:

• the Company may require reclassification,

• additional fees may apply,

• or access may be suspended until compliance is restored.

 

Upgrade paths may be offered but are not guaranteed.

 

 

Taxes and Withholding

 

All fees are exclusive of applicable taxes, duties, levies, or withholding obligations.

The Licensee is responsible for all such charges except those imposed on the Company’s net income.

 

 

Suspension for Non-Payment

 

The Company reserves the right to suspend access to licensed materials for non-payment without terminating the agreement.

 

Suspension does not relieve payment obligations.

 

 

Relationship to Other Documents

 

In the event of a conflict:

• the executed license agreement controls,

• followed by pricing schedules or exhibits,

• followed by this page.

This page does not:

• promise innovation success,

• guarantee outcomes,

• imply advisory or consulting services,

• or create reliance on results.
